Hey my friends motherboard has died so I was just wondering if it would still be worth it to replace the motherboard or upgrade motherboard with the cpu?

CPU - i5 3570K
GPU - GTX 970

If you upgraded the CPU/Motherboard you would also need to buy new RAM.

It depends how much spare money you have.

Best bet is to pick up a decent Z77 chipset motherboard if you can. LGA1155 motherboards can be a little tough to find these days though. If you're upgrading CPU anyway, your best bet would be to upgrade to Skylake, but you'd need new DDR4 RAM for that, and it wouldn't really make sense to upgrade to anything less than a 6600k, and even a 6600k isn't a huge improvement over a 3570k.
