I think that the second one is HDMI in and out
So if you use HDMI then get the Hauppage 2

I personally prefer the El Gato myself tho lol

Why don't you just do the research yourself. You will understand the product more then.

The first one is a standard PVR, just with green LED's. It uses standard HD connections, e.g. the red, blue and green cables to connect, so if you get this make sure your T.V has this, (a lot don't anymore).

And the Gaming Edition 2, uses a HDMI connection, (Might also have HD Cables as well, not sure).
but if you get this one, make sure you have a HDMI connector on your TV (most do now).
HDMI is probably just a little bit better quality, but it's probably unnoticable, as the only difference is the audio and video is in one.

So if you don't care about price, I'd go for the 2. Purely as it has a HDMI connector, and that is what most T.V's use nowadays. (Took me ages to find a T.V with the right HD slots).
Anyhow, hope this helped.
