The Xeon E3-1240 V3 is pretty much an i7-4770 without the iGPU. No overclocking with the Xeon and no iGPU, pretty much the only major differences. Oh, and Xeon's support ECC memory.

Edited: everything else seems perfect to me
and whats the average frames ill be getting in games like watch dogs, far cry 4, etc

Watch Dogs, probably 50FPS or so at ultra 1080p. Watch Dogs is horribly optimized. FC4, 60FPS average most likely.

It depends entirely on your settings, your resolution etc. The GTX 970 is kind of aimed at 1440p users so it will handle 1080p very well, it will handle 1440p well and it will even provide a playable experience at 4K.

im planing to run skyrim at ultra with insane graphical mods and some gta v mods when they come out

I actually don't have a clue about Skyrim, I don't know how demanding it is as it doesn't interest me so I haven't looked at benchmarks and what not for it. GTA V doesn't look as though it's going to be very demanding. I have a GTX 970 on the way and I'll be using that for games such as FC4 and GTA V and I'm sure it will be fine. You can just Google "GTX 970 *** benchmarks" and replace the *** with whatever game you want to know about.

Oh Alright Thnx Man Cant Wait to get these in man, i have to buy little by little tho cuz my dad doesnt wanna really buy it, i kinda need it for college as im going to become a game designer, im 17 btw so i dont have a job
